Ben Delancy’s practice focuses on executive compensation, including both cash and equity compensation. He has substantial experience with all issues relating to executive compensation arrangements, including Code § 409A, performance-based compensation and Code § 162 (m), golden parachute agreements and Code § 280G; executive compensation disclosure issues (Item 402 S-K); Sarbanes-Oxley compliance; Dodd-Frank compliance and other related corporate governance requirements. He also routinely advises clients regarding qualified retirement plans; and health and welfare programs. His practice also includes program design and drafting, disputes, including benefits disputes and government audits, plan investment issues, and fiduciary compliance.
