Megan Mengüç is a member of the Employment Tax Practice Group and the Employee Benefits and Executive Compensation Practice Group. She advises public and private companies—from Fortune 500 enterprises to emerging growth startups and family offices—on complex employment tax matters as well as on the design and compliance of executive compensation and employee benefit arrangements.  Her practice focuses on Internal Revenue Code Sections 409A, 83, 280G, and 162(m), as well as payroll tax and fringe benefit issues, with a practical, business‑oriented approach to risk mitigation and compliance across a global workforce.

Megan counsels employers on the tax treatment of nonqualified deferred compensation arrangements, equity and incentive plans, and fringe benefits, including requirements for income inclusion and employer tax withholding. She has extensive experience guiding clients through IRS and state payroll compliance issues, worker classification risks, and fringe benefit exposures.  In corporate transactions, she performs employment tax and executive compensation due diligence and post‑closing integration, identifying and quantifying exposure related to 280G golden parachute calculations, equity rollovers, potential 409A violations, and worker misclassification issues.  She advises on corrective action strategies to minimize tax and penalty exposure and aligns executive compensation structures with applicable tax requirements.

Megan brings unique insight from over ten years of experience working as a tax advisor with a Big 4 accounting firm as well as her service at the IRS Office of Chief Counsel, where she advised on employment tax matters, including FICA, FUTA, fringe benefits, worker classification, and incentive payments. She helped manage and coordinate regulatory projects and analyzed the impact of new legislation on employers’ payroll tax obligations.  Her government experience enhances her ability to anticipate regulatory developments and deliver clear, practical guidance to clients navigating evolving tax rules.

Megan also advises multinational employers on cross‑border compensation and global mobility issues, including treaty interpretation, totalization agreements, and compliance for mobile employees and international equity programs. She presents on executive compensation and employment tax topics at industry forums, including NASPP, GEO, and regional payroll associations, and has led internal trainings on M&A, executive compensation, and employment tax developments. Before private practice, she gained corporate tax experience with an international luxury goods company, focusing on international tax research, transfer pricing, and audit support.  Megan is admitted to the District of Columbia Bar.
