Toni Hodge works with public and private companies on a broad range of employee benefits and executive compensation matters. Her practice focuses on helping employers address the compensation and benefits challenges that arise in corporate transactions, executive employment arrangements, and day-to-day compensation planning. She counsels companies on the development, governance, and administration of compensation and benefits programs, helping them manage complex legal and regulatory requirements while advancing business objectives.
Toni regularly advises clients on executive compensation and equity-based incentive arrangements, including the design and implementation of programs that align with organizational goals and talent strategies. She counsels employers on matters involving Sections 280G, 409A, and 162(m) of the Internal Revenue Code. Her experience also includes conducting benefits and compensation due diligence, assessing risks associated with employee benefit plans and executive arrangements, and advising on compensation and benefits issues in mergers, acquisitions, and other strategic transactions.
Toni has worked on transactions ranging from middle-market deals to transactions exceeding $2 billion in enterprise value.
Before joining Ogletree Deakins, Toni practiced in the employee benefits and executive compensation group at Wilson Sonsini Goodrich & Rosati, where she advised public and private companies on executive compensation, employee benefits, and compensation-related aspects of corporate transactions. She later served as a manager in KPMG’s Global Rewards Services practice, counseling employers on executive compensation, workforce rewards, and transactional compensation matters. Earlier in her career, Toni worked in transaction advisory services, assisting private equity funds and corporate clients with diligence and structuring issues arising in mergers and acquisitions.
